1. Acceptance of terms

These Terms of Service ("Terms") govern access to and use of JOGA POS, the sales and inventory management platform operated by JOGA ("JOGA", "we", "us", or "our"). By creating an account, accessing, or using JOGA POS, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business, in which case "you" refers to that business.

2. The service

JOGA POS is a multi-tenant, cloud-based platform for managing sales, inventory, and related business operations. Each business ("tenant") operates within its own isolated workspace. We may add, change, or remove features from time to time as the service evolves.

3. Accounts and eligibility

• You must provide accurate and complete information when creating an account, and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Tenant administrators are responsible for the accounts and access levels of the staff they invite into their workspace.
• You must notify us promptly of any unauthorized use of your account.

4. Subscriptions and billing

Access to JOGA POS is provided on a subscription basis, according to the plan selected at signup or agreed with our sales team. New tenants may be granted a free trial period; at the end of the trial, continued access requires an active paid subscription. Fees, billing cycles, and payment terms are as communicated to you at signup or in your agreement with us, and are non-refundable except where required by law.

We may suspend access to an account with an unpaid or expired subscription, after reasonable notice, until payment is resolved.

5. Acceptable use

You agree not to:

• Use the service for any unlawful purpose, or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to another tenant's data or to any part of the platform's infrastructure
• Interfere with or disrupt the integrity or performance of the service
• Upload or transmit malicious code, or attempt to reverse-engineer the platform
• Use the service to send unsolicited, abusive, or fraudulent communications to third parties

6. Your data

As between you and JOGA, you retain ownership of the business data you enter into your tenant workspace (products, customers, transactions, and similar records). You grant us a limited license to host, process, and display that data solely to provide the service to you. Our collection and use of personal information is described in our Privacy Policy.

7. SMS and WhatsApp notifications

If you enable SMS or WhatsApp as your multi-factor authentication channel, you consent to receive text messages containing one-time verification codes at the phone number you provide. These are transactional security messages, not marketing messages, and are sent only in connection with your own login or account-security activity — message frequency depends entirely on your usage.

Message and data rates may apply, as charged by your mobile carrier. You may reply STOP at any time to stop receiving SMS messages, or change your MFA channel from your account settings. See our Privacy Policy for details on how this phone number is used and protected.

8. Intellectual property

JOGA and its licensors retain all rights, title, and interest in and to the JOGA POS platform, including its software, design, and branding. Nothing in these Terms grants you any right to use JOGA's trademarks or branding without our prior written consent.

9. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access to the service, in whole or in part, if you breach these Terms, fail to pay applicable fees, or if required to comply with law. Upon termination, your right to access the service ends; we will handle any retained data in accordance with our Privacy Policy and applicable law.

10. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable law. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

11. Limitation of liability

To the fullest extent permitted by applicable law, JOGA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the service. Our total liability arising out of these Terms shall not exceed the amount you paid us for the service in the twelve (12) months preceding the claim.

12. Governing law

These Terms are governed by the laws of France, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of France, unless mandatory local consumer-protection law provides otherwise.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify tenant administrators by email. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
